These Terms of Use govern your access to and use of the Kestrel Insights platform, including Kestrel, Strix, associated datasets, APIs, reports, dashboards, websites, and related services (collectively, the "Service").

By accessing, browsing, registering for, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms.

If you do not agree to these Terms, you must not use the Service.

▸1. About the Service

The Service provides analytical outputs derived from publicly available corporate disclosures and other publicly accessible information.

The Service currently includes:

  • Kestrel – ESG disclosure analysis, shared value assessment, reporting consistency analysis, methodology change detection, target tracking, and related analytical outputs.
  • Strix – automated extraction, standardisation, organisation, and presentation of ESG-related metrics and disclosures from publicly available documents.

Outputs may be generated using:

  • structured methodologies
  • predefined analytical rules
  • statistical methods
  • machine learning systems
  • natural language processing
  • optical character recognition (OCR)
  • artificial intelligence systems

The Service is intended for research, informational, academic, professional, and internal business purposes.

▸2. Nature of Outputs

All outputs provided through the Service are interpretative and analytical in nature.

Outputs are generated based upon:

  • publicly available source material
  • methodologies selected by Kestrel Insights
  • automated processing systems
  • information available at the time of analysis

Outputs do not constitute verified statements of fact.

The Service does not independently audit, assure, certify, or verify underlying corporate disclosures.

▸3. No Professional Advice

Nothing contained within the Service constitutes:

  • financial advice
  • investment advice
  • legal advice
  • accounting advice
  • regulatory advice
  • sustainability assurance
  • ESG certification
  • auditing services
  • professional consulting services

You must not rely upon the Service as the sole basis for any decision.

Users remain solely responsible for conducting their own independent review and verification.

▸4. Artificial Intelligence and Automated Analysis

The Service uses automated systems, including artificial intelligence technologies, to analyse, classify, extract, standardise, summarise, and interpret information.

While we take reasonable steps to maximise accuracy, automated systems are inherently imperfect.

Outputs may contain:

  • extraction errors
  • OCR errors
  • transcription errors
  • classification errors
  • missing information
  • duplicated information
  • incorrect calculations
  • incorrect source references
  • incorrect page references
  • incorrect unit conversions
  • reporting-period attribution errors
  • hallucinated outputs
  • inaccurate summaries
  • incomplete analyses

No warranty is given that any output is accurate, complete, current, reliable, or error-free.

Users acknowledge that artificial intelligence systems may occasionally generate incorrect information.

▸5. Strix-Specific Data Extraction Disclaimer

Strix is an automated ESG disclosure extraction tool.

Strix analyses publicly available materials including, but not limited to:

  • sustainability reports
  • annual reports
  • integrated reports
  • climate reports
  • ESG reports
  • investor presentations
  • technical reports
  • regulatory filings

Although designed to maximise accuracy, Strix does not guarantee that:

  • all disclosures have been identified
  • all metrics have been extracted
  • extracted values are correct
  • citations are correct
  • source references are complete
  • reporting methodologies have been correctly interpreted
  • standardised values perfectly reflect original disclosures

Users must independently verify all extracted information against original source documents before relying upon it.

▸6. Data Sources

The Service primarily relies on publicly available information.

Sources may include:

  • annual reports
  • sustainability reports
  • climate reports
  • technical reports
  • stock exchange filings
  • company websites
  • investor presentations
  • public disclosures

Ownership of underlying source materials remains with their respective owners.

Kestrel Insights claims no ownership of third-party source documents.

▸7. Accounts and Registration

Certain features of the Service require you to register for an account or to access the Service through our authentication provider.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You agree to provide accurate and current registration information, to keep it up to date, and to notify us promptly of any unauthorised use of your account or any other breach of security.

Accounts are provided for the registered user or organisation and may not be shared, resold, sublicensed, or transferred without our prior written consent.

You must be at least 18 years old to register. Where you register on behalf of an organisation, you confirm that you are authorised to bind that organisation to these Terms.

▸8. Permitted Use

You may use the Service:

  • for personal use
  • for internal business purposes
  • for academic purposes
  • for research purposes
  • for evaluation purposes

Subject to these Terms.

▸9. Prohibited Use

You agree not to:

  • reproduce substantial portions of the Service
  • resell outputs without permission
  • redistribute datasets without permission
  • reverse engineer the Service
  • scrape the platform
  • build competing datasets from exported outputs
  • use the Service for unlawful purposes
  • interfere with platform operation
  • attempt unauthorised access to systems

▸10. Fees, Subscriptions and Payment

Certain products and features are provided on a paid basis, including annual data licences and one-off deliverables such as reports, company snapshots, target intelligence packs, and bespoke or custom screens.

Annual data licences are billed annually in advance. Kestrel Insights does not offer a standard monthly subscription at launch, because the core dataset updates primarily on an annual sustainability-reporting cycle. One-off reports, company snapshots, target intelligence packs, and bespoke or custom projects are purchased as fixed-scope, one-off deliverables.

Payments are processed by our third-party payment processor, Stripe. By submitting payment details, you authorise us and Stripe to charge the applicable fees. Fees are exclusive of any applicable taxes, which you are responsible for paying.

Auto-renewal

Annual data licences renew automatically for successive annual periods unless cancelled before the applicable renewal date. One-off reports, company snapshots, target intelligence packs, and bespoke or custom projects do not auto-renew.

Refunds

Except where required by applicable law, fees are non-refundable, including for unused access, partial subscription periods, completed one-off deliverables, bespoke or custom work, or client-approved scopes. We may offer discretionary founding-client, pilot, or introductory pricing, but this does not create any ongoing entitlement to that pricing or to any refund.

Free tier

We may offer a free or sample-access tier alongside our paid products. The free tier is provided for evaluation and demonstration purposes only, with limited access, no bulk exports, and no redistribution rights.

We may change our fees or introduce new charges from time to time. Any change to recurring fees will take effect from the next renewal period.

▸11. Intellectual Property

Unless otherwise stated, all rights in:

  • software
  • methodology
  • classifications
  • databases
  • analytical outputs
  • platform design
  • trademarks
  • branding

are owned by Kestrel Insights or its licensors.

Public corporate disclosures remain the property of their respective owners.

No licence is granted except as expressly stated in these Terms.

▸12. User Feedback and Corrections

Users may submit:

  • correction requests
  • source updates
  • review requests
  • methodology feedback

Kestrel Insights may review, store, analyse, and use such submissions for:

  • improving outputs
  • improving methodologies
  • quality assurance
  • dispute resolution
  • audit purposes
  • future product development

Submission of feedback does not guarantee any modification to outputs or classifications.

▸13. Availability

We do not guarantee that:

  • the Service will always be available
  • the Service will be uninterrupted
  • the Service will remain free
  • all features will remain available
  • outputs will remain unchanged

We reserve the right to modify, suspend, restrict, or discontinue any part of the Service at any time.

▸14. No Warranty

The Service is provided strictly on an "AS IS" and "AS AVAILABLE" basis.

To the fullest extent permitted by law, Kestrel Insights disclaims all warranties, whether express or implied, including warranties relating to:

  • accuracy
  • completeness
  • reliability
  • merchantability
  • fitness for purpose
  • availability
  • non-infringement

We do not warrant that:

  • outputs are accurate
  • outputs are complete
  • outputs are free from errors
  • outputs are free from hallucinations
  • source references are correct
  • data extraction is complete
  • the Service will operate uninterrupted

▸15. Limitation of Liability

15.1 Nothing in these Terms shall exclude or limit either party’s liability for:

  • death or personal injury caused by negligence;
  • fraud or fraudulent misrepresentation; or
  • any other liability which cannot be excluded or limited under applicable law.

15.2 Subject to clause 15.1, Kestrel Insights Limited shall not be liable for any indirect, special, incidental, consequential or punitive loss or damage, or for any loss of profits, revenue, business, goodwill, anticipated savings, data or opportunity, whether arising in contract, tort (including negligence), breach of statutory duty, misrepresentation, restitution or otherwise.

15.3 Subject to clauses 15.1 and 15.2, Kestrel Insights Limited’s total aggregate liability arising out of or in connection with the Service, whether in contract, tort (including negligence), breach of statutory duty, misrepresentation, restitution or otherwise, shall not exceed the greater of:

  • £100; or
  • the total fees paid by the customer to Kestrel Insights Limited for the Service in the 12 months immediately preceding the event giving rise to the claim.

▸16. Indemnity

You agree to indemnify and hold harmless Kestrel Insights from claims, losses, liabilities, damages, and expenses arising from:

  • your misuse of the Service
  • your breach of these Terms
  • your unlawful use of outputs

▸17. Suspension and Termination

We may suspend or terminate your access to the Service immediately in the event of material breach of these Terms, non-payment, misuse of the platform or data, attempted scraping, unauthorised redistribution, a security risk, infringement of our intellectual property rights, or any unlawful use.

Where a breach is capable of remedy and does not create an urgent risk, we may give you a reasonable opportunity to remedy it, for example within 7 or 14 days. We nonetheless retain the right to suspend access immediately where necessary to protect the Service, data, intellectual property, other users, or our legal or commercial position.

You may stop using the Service at any time, and may cancel the renewal of an annual data licence at any time before the next renewal date. Cancellation prevents future renewal but does not entitle you to a refund for the current subscription period.

Access to annual data licences ends when the subscription expires, is cancelled with effect from the end of the current term, lapses due to non-payment, or is terminated under these Terms. In the case of non-payment, we may allow a short grace period (for example 7 days) before suspension or termination.

One-off reports, company snapshots, target intelligence packs, and bespoke or custom projects do not auto-renew. Once delivered, they remain subject to the licence restrictions, confidentiality obligations, intellectual property terms, redistribution restrictions, disclaimers, and liability limitations in these Terms.

Termination does not affect any rights, obligations, or liabilities accrued before termination, and any provisions intended to survive termination shall continue to apply.

▸18. Changes to the Service

We may modify:

  • methodologies
  • classifications
  • data structures
  • outputs
  • scoring systems
  • platform features

without notice.

Historical outputs may change when methodologies are updated.

▸19. Changes to these Terms

We may update these Terms periodically.

Continued use of the Service following publication of revised Terms constitutes acceptance of those revised Terms.

▸20. Consumers

The Service, and in particular our paid products, data licences, reports, target intelligence packs, and custom screens, are intended for business and professional use and are provided on a business-to-business basis unless expressly agreed otherwise.

Nothing in these Terms affects any mandatory rights you may have as a consumer under applicable law that cannot lawfully be excluded or limited.

Where you obtain digital content or immediate access to the Service as a consumer, you may be asked at checkout to consent to immediate access and to acknowledge that your statutory right to cancel may be affected once access begins, to the extent permitted by applicable law.

▸21. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of England and Wales.

Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

By accessing or using the Service, you confirm that:

  • you understand that outputs may contain errors, omissions, incorrect citations, extraction inaccuracies, or AI-generated hallucinations
  • you agree not to rely solely upon outputs without independent verification
